Member Agreement

PLEASE READ THIS MEMBER AGREEMENT BEFORE USING THIS SERVICE. By using your password and logging in to the GrantsDirect.com database off grants associated with foundations profiled in the GrantsDirect.com database, YOU ABIDE BY THE CONDITIONS OF THIS AGREEMENT. This Agreement covers Jankowski Research's National and Regional database of grants associated with foundations profiled at www.JankowskiResearch.com on the GrantsDirect.com database.

1. Welcome to Jankowski Research. Jankowski Research is an information service-owned, operated, and published by Jankowski Associates, Inc. on the World Wide Web of the Internet consisting of content compiled from public documents and enhanced by original research. The term "Member" means each person/organization that establishes an account with Jankowski Associates, Inc. by paying for access to the database and using the password assigned to them.

By using this service, you agree to be bound by all the terms of this Agreement. Jankowski Associates, Inc. charges a fee to search its database and to access some of its data.

2. When you become a member of this service at its base price, you are purchasing a service that begins on the date you sign up and ends 12 months later. Members must pay the membership fee in full prior to receiving a password to enter the database. If at any time, payment is denied by Member's bank or credit card company, a Member's password may be revoked. Regardless of use, a password expires after 12 months, and memberships are nonrefundable in full or in part.

A Member is responsible for all use of the Member's account. If the Member suspects that there is or has been unauthorized use of the Member's password, the Member should notify Jankowski Associates, Inc. immediately and then change the applicable password.

A base membership is designed to provide a research service for a single user: a single person logged in on one terminal connected to a single computer. A Member may log in to the database from another terminal or home computer, provided that the database is being accessed by only one computer at a time. This service may not be accessed or made accessible by more than one computer or computer screen. Multi-user/site membership fees are available. In these instances, a password administrator is responsible for administration of the account.

Jankowski Associates, Inc. monitors use of the system in order to ensure a Member's password is not being used in an unauthorized manner. We reserve the right to change the membership fee. However, in such an event, we will notify you in advance and give you an opportunity to retain membership. We reserve the right to change the terms of this Agreement or to modify any features of this service at any time.

3. All material appearing on http://www.JankowskiResearch.com is the property of Jankowski Associates, Inc. You may not transfer, sell, or otherwise assign your rights or obligations under this Agreement.

4. All data contained on this site is protected by copyright laws of the United States and other countries. All individual articles, content, and other elements comprising this service are also copyrighted works. You must abide by all additional copyright notices or restrictions contained in this service.

5. None of the material contained herein may be saved onto a hard disk for the purpose of reselling or redistributing the information. You may print out database reports where expressly allowed. No material on this Web site may be duplicated electronically or in print form and re-distributed or otherwise used for commercial ends. You may not copy, reproduce, distribute, publish, enter into a database, modify, create derivative works, transmit, loan, merge, lease, or in any way exploit any part of this service. You may not distribute any part of this service over a network nor sell or offer it for sale. These files may not be used to construct any kind of database.

6. Jankowski Research has been specially designed for presentation of content in a unique format and appearance to our Members. We are concerned about the integrity of our service when it is viewed in a setting created by a third party which includes advertising or other materials that we have not authorized to be displayed with our service. Neither you or any third party should make use of the contents of the service in any manner that interferes with format and appearance of the service as we have designed it.

7. You agree to indemnify and hold harmless Jankowski Research, its directors, officers, and employees from and against all losses, expenses, damages and costs, including reasonable attorney's fees, resulting from any violation of this Agreement, or the failure to fulfill any obligations relating to your account incurred by you or any other person using this account.

8. Due to the possibility of human or mechanical error, this service is available "as is." We do not warrant that this service will be uninterrupted or error-free. There may be delays, omissions, interruptions, or inaccuracies in the data, information, or other materials available through this service. All information on this Web site has been obtained from sources believed by us to be accurate and reliable. We are not responsible for the availability or content of other services that may be linked to this service. We do not make any representations, nor do we endorse the accuracy, completeness, timeliness or reliability of any material or database displayed or available through links in this service. We reserve the right to correct any errors or omission in this service. Although we intend to make reasonable steps to prevent the introductions of viruses or other destructive materials to this service, we do not guarantee or warrant this service do not contain such destructive features. We are not liable for any damages or harm attributable to such features.

9. Jankowski Research, its officers, and directors are not liable for incidental, indirect, consequential, special, punitive, or exemplary damages of any kind, including lost revenues or profits, loss of business or loss of data, in any way related to this service or for any claim, loss, or injury based on errors, omission, interruptions, or other inaccuracies in this service. Any claim against us shall be limited to the amount you paid for the use of this service.

Jankowski Research appreciates hearing from you. All efforts will be made to respond to your comments, but we cannot guarantee we will do so.

10. This agreement shall be governed by the laws of the United States and the State of Maryland.

11. Jankowski Associates, Inc. reserves the right to modify this Agreement at any time upon at least 30 days notice. Notice of modifications to this policy will be given to Members by email.
